WELLPULSE TERMS & CONDITIONS & PARTNERSHIP AGREEMENT

This Terms & Conditions & Partnership Agreement ("Agreement") is made between WellPulse ("the Platform") and the Registered Mental Health Professional ("the Professional") and/or the Business Entity ("the Entity") represented by the Professional.
By registering as a Professional with WellPulse, you agree to the terms outlined in this document, which govern your partnership, responsibilities, and engagement with clients through WellPulse.
1. ROLE & RELATIONSHIP
1.1 Independent Relationship

The Professional and/or Entity operates as an independent mental health provider and is not an employee, agent, or partner of WellPulse.

WellPulse serves exclusively as a facilitator, connecting clients with the Professional and/or Entity.
1.2 Client Ownership

All clients taking assessments via WellPulse are considered jointly owned by both WellPulse and the Registered Professional/Entity.

WellPulse facilitates the connection between clients and Professionals, ensuring seamless access to mental health support.

The Registered Professional and their Entity retain responsibility for client engagement, service delivery, and confidentiality.

Both parties share the professional relationship with the client, with WellPulse managing initial access and referrals, while the Professional handles direct care and ongoing support.

WellPulse may use anonymized client data for platform analytics and service improvement but does not interfere with individual client-practitioner relationships.
2. RESPONSIBILITIES OF THE PROFESSIONAL & ENTITY
2.1 Clinical Standards & Professional Conduct

The Professional must hold a valid license, certification, or registration under their governing body.

The Professional and their Entity must adhere to ethical and professional standards required in their jurisdiction.

Any misrepresentation of credentials, experience, or abilities will result in immediate termination from WellPulse.
2.2 Use of WellPulse Assessments & Tools
-
All content, tests, and assessments used on WellPulse for pre-screening and extended screening are recognized, approved, and agreed upon by the registered Professionals.

The Professional is responsible for reviewing, providing feedback, and advising WellPulse on any necessary improvements to the assessments.
2.3 Data Protection & Confidentiality
-
The Professional and their Entity are solely responsible for the collection, storage, and protection of all client data obtained through WellPulse.

The Professional must ensure compliance with data protection laws applicable in their jurisdiction (e.g., GDPR, PDPA, HIPAA).

WellPulse does not store or process client consultation records beyond initial screening data.

Any data breaches or mishandling of client information by the Professional or their Entity shall be their sole responsibility, and WellPulse shall not be liable.
3. RESPONSIBILITIES OF WELLPULSE
3.1 Facilitation & Client Matching

WellPulse provides a secure platform to connect Professionals with clients seeking mental health support.

WellPulse does not interfere with treatment methods, diagnosis, or therapy provided by the Professional.
3.2 Assessment & Screening Tools
-
WellPulse ensures that all assessments provided on the platform are based on scientific principles and professional input.

WellPulse reserves the right to update or modify assessments in collaboration with registered Professionals.
3.3 Technology & Security
-
WellPulse will provide a secure digital environment for Professionals and clients.
-
WellPulse does not store private session records; all session-related confidentiality is managed by the Professional.
4. CREDITS & PAYMENTS
4.1 Credit System & Purchase Policy

The Professional does not earn credits when engaging with clients.
-
Credits must be purchased by the Professional according to WellPulse’s credit policy.

Credits are required to:

Acquire leads from WellPulse’s client matching system.
-
Manage booking handling and client engagement within the platform.
-
Access additional WellPulse services (if applicable).
-
4.2 Payouts & Transactions
-
The Professional does not receive payouts from WellPulse; payments are managed directly between the client and the Professional outside the platform.

WellPulse does not handle or process client payments for services rendered by the Professional.
4.3 Fees & Deductions
-
WellPulse does not charge a registration fee, but credit purchases are required to operate within the platform.
-
Any adjustments to credit pricing or policies will be communicated transparently to Professionals.
5. LIABILITY & LIMITATION OF RESPONSIBILITY
5.1 Professional Liability

The Professional and their Entity retain full responsibility for the quality, accuracy, and legal compliance of the mental health services they provide.
-
WellPulse is not liable for any malpractice, misdiagnosis, or disputes between the Professional and their clients.
5.2 Data Protection & Breach Accountability
-
The Professional and/or Entity assumes full responsibility for the protection and lawful processing of client data.

Any breach of data privacy, unauthorized sharing, or misuse of client information by the Professional shall result in immediate account suspension and potential legal action under applicable laws.
5.3 Dispute Resolution
-
Any disputes between the Professional and a client must be handled by the Professional according to ethical and legal standards of their jurisdiction.

If a dispute involves WellPulse, it will be resolved via internal review before any legal action.
5.4 Approval for Use of Branding & Content
-
Any use of WellPulse’s name, logo, materials, assessments, branding, or intellectual property for marketing, training, or educational purposes must receive prior written approval from WellPulse.

The Professional and their Entity are prohibited from modifying, distributing, or using WellPulse’s branding in any manner that misrepresents the relationship between the parties.
5.5 Liability for Unauthorized Use

Any unauthorized use of WellPulse’s brand, materials, or content that results in misrepresentation, reputational damage, or legal issues will hold the Professional and/or their Entity fully responsible.

WellPulse reserves the right to suspend or terminate the Professional’s account and take legal action for unauthorized use or brand misrepresentation.
6. TERMINATION & SUSPENSION
6.1 Termination by WellPulse

WellPulse reserves the right to terminate or suspend a Professional’s account if:
-
The Professional fails to meet ethical or professional standards.
-
The Professional engages in fraudulent, misleading, or harmful behavior.
-
The Professional misuses client information or breaches confidentiality.
6.2 Termination by the Professional
-
The Professional may request account deactivation or termination at any time, with at least 30 days' notice.
-
Any unused credits are non-refundable upon termination.
7. GOVERNING LAW & JURISDICTION
7.1 Legal Compliance
-
This Agreement shall be governed by the laws of the Professional’s country of practice and WellPulse’s country of operation.

Any legal dispute arising from this Agreement shall be subject to mediation first, before legal proceedings.
8. FINAL ACKNOWLEDGEMENT
By registering as a Professional on WellPulse, you agree to the terms outlined in this Agreement.
